Welcome to HUMBL, Inc. (“HUMBL,” “we,” “us” or “our”). This agreement is part of our Terms of Use, together with HUMBL’s Privacy Policy, and applies to your access and use of all HUMBL Mobile Pay products and services (together, the “Services”), that are made available through Humblpay.com and the downloadable HUMBL Mobile Pay application (together, the “Platform”). HUMBL includes HUMBL, Inc. and its officers, directors, employees, consultants, affiliates, subsidiaries and agents.
This HUMBL Mobile Pay Merchant Agreement (“Agreement”) sets forth your rights and responsibilities when you use the Services. The Agreement is a legally binding contract between you and HUMBL. Please read it carefully.
Mobile Pay allows merchants (“Merchants,” “you” or “your”) to access the HUMBL Merchant Services Cloud and accept payment through third party payment processor(s) via authorized credit and debit card transactions. Those funds are then deposited into the Merchant’s designated bank account.
Payment processing services for Merchants onboarded through the HUMBL Merchant Services Cloud on the Platform are provided by Stripe, Inc. (“Stripe”) and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to this Agreement and through your use of the Platform, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of the Platform enabling payment processing services through Stripe, you agree to provide us with accurate and complete information about you and your business, and you authorize us to share information with third-party providers including Stripe in connection with payment processing services provided by Stripe.
The Platform is only available to Merchants and Users who are at least 18 years old who register and are approved for a payment account with HUMBL.
The Platform may be made available, modified, or discontinued by us at any time without notice and is subject to the limitations in HUMBL’s Terms of Use.
As a security measure, we may impose transaction limits on Merchants and Users. For example, we may impose limits relating to the value of any transaction, deposit, or adjustment, or limits relating to the cumulative value of all transactions, deposits, or adjustments during a period of time. We may also impose limits related to the number of transactions per day or other periods of time. We will not be liable to a Merchant: (a) if we do not proceed with a transaction, deposit, or adjustment that would exceed any limit established by us, or (b) if we permit a User to withdraw from a transaction.
HUMBL may refuse Services to anyone, for any reason, at any time. If HUMBL receives notice that your content or activity violates a third party’s service agreement or terms of use, we may at our sole discretion take action against your account to comply with their policies. Such actions may include canceling a transaction, disabling listings from you on the Platform, suspending or terminating your selling privileges, or removing certain payment methods.
HUMBL reserves the right to decline or refund transactions that we believe to be high risk, fraudulent, in violation of law or regulation, or otherwise in violation of HUMBL’s Terms of Use.
Merchant Services Cloud accounts are only available to individuals who are eligible to be Merchants on the Platform and who have a valid credit or debit card on file with Stripe.
In the event that a User submits a chargeback, HUMBL will respond to the credit card networks on behalf of the Merchant involved in the transaction; the Merchant agrees to provide any requested information to us within five calendar days of our inquiry. HUMBL reserves the right to recoup funds and fees associated with User chargebacks from the Merchant.
HUMBL reserves the right to refund Users and recoup such refunded amounts from the Merchant where the Merchant has been refused service by HUMBL in accordance with HUMBL’s Terms of Use; and/or in circumstances where the Merchant has unfulfilled or overdue orders.
The Platform provides a streamlined payment processing solution. We do the heavy lifting and aggregate the following services into a simple fee structure so you can focus on your customers.
We may update our fees at any time, and we will provide you with at least 5 days’ notice of any such fee changes. All fees are listed exclusive of any taxes or other government assessments that may apply. See the Section 6 below for further details.
Example of Fee Calculations and Payout Amounts
You are responsible for collecting and paying any taxes associated with using and making sales through HUMBL’s Services. HUMBL is not responsible for determining whether any taxes apply to your transaction, or for calculating, collecting, reporting or remitting taxes arising from any transaction.
Internal Revenue Service regulations may require that we file a Form 1099-K to report unadjusted annual gross sales information for Merchants located in the United States or being paid in USD in certain circumstances. We may ask you to provide taxpayer-identification information to HUMBL.
You may terminate this contract and your acceptance of the Platform at any time by adjusting the Settings in your Merchant account with HUMBL. HUMBL may also terminate or suspend your use of the Platform at any time.
